The Paralegal, Corporate, will help implement the company's consolidation of corporate entity records, improve policies and procedures on corporate entity filings, and support annual or periodic filings for corporate entities and subsidiaries. The Paralegal will also support other corporate initiatives, such as data privacy/protection, data security, document retention, and business development activities. Key Duties and Responsibilities:
- Provide support to Corporate functions and corporate entity management, with supervision from attorneys as needed.
- Collect information and provide support to filing requirements (e.g., annual reports, incorporations/dissolutions, periodic registrations) related to corporate entities and subsidiaries, which may include state filings, SEC-related filings, and international corporate governance filings.
- Develop and manage document filing system for corporate entity records, for both domestic and foreign corporate entities and subsidiaries. Ensure corporate records (including filings, minutes, resolutions, and officer and director information, etc) are updated and properly maintained.
- Provide support to International team on corporate entity management matters for foreign subsidiaries, which may include providing support to the preparation, filing, and storing of Board of Directors and Shareholders resolutions, Board of Directors changes, delegation of powers, annual accounts, intercompany agreements and assist on special projects led by the International team (e.g., Tax and Business restructuring, M&A, and corporate integrations).
- Take an active role in the selection, set up, and implementation of subsidiary management software.
- Collect information from Legal team or other functions to support corporate entity management activities.
- Support registered agent relationships and inquiries.
- Streamline processes for corporate entity document management and filings. Maintain a complete calendar of key dates, deliverables, and ensure all are being met in a timely manner.
- Areas of support may also include: providing support to the Legal team and other functions to develop and execute on various corporate-wide initiatives, such as data privacy/protection, data security, and document retention; providing support to corporate development activities, such as compiling documents for due diligence processes; and providing support to matter management or legal billing software.
- Participate in and contribute to Legal team working groups and legal operations team as designated, which may include support to contract preparations and negotiations, and implementation of technology or processes to improve efficiencies of the Legal team.
- Work with outside legal counsel in various jurisdictions as needed.
- Collaborate with other members of the Legal team to work collaboratively on improving processes across CONMED.
- Work independently, with attention to detail and minimal supervision.
- Provide sound judgment and have the ability to analyze large amounts of information, identify relevant issues, and propose viable solutions.
- Function with a high degree of professional ethics and integrity.
- Strong organizational skills to manage multiple priorities in a fast-paced environment.
Minimum Requirements:
- Bachelor's degree
- Paralegal experience in a law firm for at least 5 years
Preferred Requirements:
- Paralegal certificate
- Experience in working with corporate entity filings, with knowledge of applicable state websites and agencies (e.g., the Delaware Secretary of State) or SEC-related filings (e.g., 10-K, 10-Q, 8-K, Forms 3, 4, 5).
- Experience as a corporate paralegal in a law firm.
- Experience in corporate governance matters for foreign subsidiaries.
- Experience with subsidiary management software, as well as matter management and billing software.
- Proven ability to prioritize, organize, and implement multiple complex projects.
- Strong collaboration and communication skills.
