Overview: Inovalon is seeking a business-minded Legal Counsel who will be responsible for a broad range of commercial and general corporate matters in support of product development and business expansion initiatives. This role will structure, review, negotiate and advise on a wide range of commercial agreements with a particular emphasis on data-driven solutions that support and accelerate innovation in health care. The incumbent will further be a resource to others in the Legal and Compliance Department and work closely with internal business clients on contractual and regulatory matters.

Duties and Responsibilities:



  • Draft and negotiate sales/revenue contracts including technology-related/SaaS agreements, professional services agreements, non-disclosure agreements, and data sharing agreements;
  • Work cross-functionally with business leaders and key stakeholders (e.g., Sales, Product, Finance) to manage the contracting process, negotiate agreements and drive deals to closure;
  • Assist with the management of intellectual property, corporate maintenance and other legal matters;
  • Coordinate and assist with privacy-related compliance activities, risk assessments, and related requirements;
  • Undertake special projects, and support legal and compliance program initiatives;
  • Support response to third-party requests for information, litigation holds, electronic discovery and other related topics;
  • Respond to inquiries and advise internal clients on contract interpretation, dispute resolution, risk allocation and other legal considerations, as appropriate;
  • Conduct legal research and advise the attorney team and other key stakeholders on federal and state healthcare legal developments, Medicare and Medicaid compliance requirements, commercial market concerns and other legal frameworks;
  • Support the drafting and maintenance of legal policies and control procedures and work cross-functionally with relevant stakeholders to integrate these policy requirements into business operations
  • Take on additional assignments and responsibilities as business needs dictate;
  • Maintain compliance with Inovalon's policies, procedures and mission statement;
  • Adhere to all confidentiality and HIPAA requirements as outlined within Inovalon's Operating Policies and Procedures in all ways and at all times with respect to any aspect of the data handled or services rendered in the undertaking of the position; and
  • Fulfill those responsibilities and/or duties that may be reasonably provided by Inovalon for the purpose of achieving operational and financial success of the Employer.


Job Requirements:



  • A minimum of five (5) years of relevant legal experience as a practicing attorney with at least two (2) years working at a law firm, corporate legal department or similar environment;
  • Experience with a healthcare organization/company, another regulated industry or a healthcare-focused government agency is preferred but not required;
  • Tangible experience in commercial contracting, including drafting, reviewing, negotiating and advising business partners on complex agreements;
  • High volume commercial transactions experience with a sales-driven, software or other technology company is a plus;
  • Ability to draft, negotiate and close commercial agreements independently;
  • Knowledge of laws and regulations related to healthcare privacy and security;
  • Must be able to communicate clearly and professionally in writing and verbally;
  • Good business judgment, with the ability to think tactically and strategically and provide practical advice by balancing business needs with legal risks; and
  • A self-starter who is detail oriented and able to work independently in a fast-paced and dynamic work environment with minimal supervision.


Education:



  • J.D. degree from an accredited law school and licensed to practice law in any US state or D.C.


Physical Demands and Work Environment:



  • Sedentary work (i.e., sitting for long periods of time);
  • Exerting up to 10 pounds of force occasionally and/or negligible amount of force;
  • Frequently or constantly lift, carry push, pull or otherwise move objects and repetitive motions;
  • Subject to inside environmental conditions; and
  • Travel for this position will include less than 5% locally usually for training purposes.

Inovalon Offers a Competitive Salary and Benefits Package

In addition to the base compensation, this position may be eligible for performance-based incentives.

The actual base pay offered may vary depending on multiple factors including, but not limited to, job-related knowledge/skills, experience, business needs, geographical location, and internal equity. At Inovalon, it is not typical for an individual to be hired at or near the top end of the range for their role, and compensation decisions are dependent upon the facts and circumstances of each position and candidate.

Base Compensation Range
$128,600 $170,000 USD
