Deputy General Counsel


The Opportunity

Atos is seeking a Deputy General Counsel with 15+ years of high-quality legal service delivery experience, including significant years supporting corporate compliance and governance, and commercial contracting for providers of IT services.

Atos is a global company with operations spanning multiple North American countries, this role is part of a global organization that demands an exceptional understanding of international corporate laws and cross-border compliance issues. The Deputy General Counsel ensures cohesive legal strategies that align with the organization's multinational presence, fostering collaboration across jurisdictions with the jurisdictional Assistant General Counsels and addressing the complex legal landscapes of diverse regions. The Deputy General Counsel will also collaborate with and manage outside counsel on select engagements.

The Deputy General Counsel plays an integral role within the legal department of an organization, acting as a senior legal advisor and a close collaborator with the General Counsel. The position will report to the General Counsel and manage of team of legal counsel and paralegals. This position involves overseeing a wide range of legal activities, including but not limited to providing legal guidance on various matters, managing corporate risks, ensuring compliance with laws and regulations, and participating in the development and implementation of corporate policies. The individual in this role supports the General Counsel in the leadership and direction of the legal team, contributing to strategic decision-making processes and often stepping in to lead in the General Counsel's absence. With a focus on safeguarding the organization's legal interests and maintaining its operations within the scope of the law, the Deputy General Counsel ensures the legal department fulfills its mission to protect and serve the organization effectively.

Deputy General Counsel Job Duties:

- Provide legal advice and guidance to exective management and other departments on a wide range of legal matters, including but not limited to corporate governance, compliance, and risk management.

- Develop, implement, and enforce policies and procedures to ensure the organization's compliance with applicable laws, regulations, and ethical standards.

- Coordinate with the intellectual property department to protect the organization's intellectual property rights, including patents, trademarks, copyrights, and trade secrets.

-Assist as necessary in legal aspects of mergers, acquisitions, divestitures, and other corporate transactions, including conducting due diligence, negotiating terms, and drafting transaction documents.

- Manage the organization's corporate structure, maintenance, compliance and regulatory requirements including drafting resolutions and corporate maintenance documents.

- Assist as needed in drafting, reviewing, and negotiating complex contracts and agreements with clients, vendors, and partners to protect the organization's legal and business interests.

The ideal candidate will possess:

- Expertise in corporate compliance, governance, and maintenance processes, including oversight of powers of attorney and related corporate instruments.

- Proficiency in drafting and negotiating complex IT service contracts and frameworks.

- Earned confidence in counseling senior leadership and internal stakeholders.

- Proven ability to improve processes, systems, and tools to ensure quality in legal advice and operations.


Primary Responsibilities

The Deputy General Counsel will:



  • Lead efforts to ensure corporate compliance and maintenance, including overseeing corporate governance structures, drafting and maintaining powers of attorney, and fulfilling statutory obligations.
  • Support customer contracting by collaborating with sales, sales enablement, business solutions, finance, tax, and other internal stakeholders.
  • Provide legal management and solutions for compliance, governance, and vendor/subcontractor issues.
  • Maintain subject matter expertise across a wide range of contract types, including consulting, software development and maintenance, managed services, SaaS delivery models, IP licensing, cloud hyperscaling, hardware and IoT, AI solutions, and IT security services.
  • Provide guidance on data protection regulation and infosec-related matters where applicable.


Day-to-Day Responsibilities

  • Serve as the point of contact for corporate compliance and governance matters, ensuring adherence to regulatory requirements and best practices.
  • Support deal review processes and internal compliance initiatives.
  • Collaborate with Global and NAO Legal Team members, Account Management, Contract Management, Finance, and other Strategic Functions to transform processes and tools for improved corporate compliance and contract lifecycle management (CLM).
  • Drive cross-function collaboration and excellence by working with Global and NAO Strategic Functions to align compliance and operational practices with company objectives.


This position combines a strong focus on corporate compliance and governance with the ability to skillfully navigate the complexities of IT service contracting, making it an integral part of Atos' legal and operational excellence.
