Corporate Mid-Level (Finance and Lending) Associate

Venable LLP's Corporate Group seeks a mid-level finance associate with four to six years of financial transactions experience to join our finance and lending team in the Baltimore, Chicago, Denver, Miami, New York, or Washington, D.C. offices.

The qualified candidate has substantial law firm experience representing both borrowers and lenders, including banks, direct lenders, private credit funds, and corporate borrowers, across a wide range of complex financing transactions, including but not limited to fund finance, asset-based financing, corporate financings, and secured transactions.

The associate will be working on matters such as capital-call facilities, NAV facilities, hybrids, warehouse facilities, management-fee lines of credit, secured lending, leveraged buyouts, acquisition financings, syndicated and bilateral credit facilities, asset-based loans, bridge and mezzanine financings, and refinancing and recapitalization transactions. Experience working with private funds, multi-tranche capital structures, secured and unsecured facilities, and intercreditor arrangements is required.

The candidate should be comfortable leading and managing the transaction from inception to end and should be able to train and manage junior associates. Representative tasks to be performed by the successful candidate include, but are not limited to:

  • Drafting, reviewing, and negotiating commitment letters, term sheets, loan agreements, security agreements, intercreditor agreements, repurchase agreements, and related documentation.
  • Supporting counsel and partners with deal management and proactively progressing tasks to get the transaction to closing.
  • Managing and conducting due-diligence, issues lists, diligence summaries, and transaction checklists.
  • Serving as a primary point of contact for clients, opposing counsel, junior associates, paralegals, and internal cross-practice deal teams.
  • Advising clients on post-closing matters including post-closing conditions, joinders, amendments, waivers, interpretive issues, and collateral concerns, among others.
  • Conducting legal research and supporting senior attorneys on a range of domestic and cross-border financing and restructuring matters.
  • Participating in client education initiatives and business development presentations.
  • Providing mentorship to junior associates and participating in firm citizenship activities.

The successful candidate has excellent oral and written communication skills, with a particular focus on strong drafting skills, and outstanding academic credentials. Candidates must have a juris doctorate degree from an accredited law school and be admitted to and in good standing with the relevant local Bar. The salary range for associate positions is $215,000 to $355,000. The actual salary offered will be based on several job-related factors including, but not limited to, years of related experience, level of education, skills, credentials and certifications, responsibilities, and performance.
