Skadden, Arps, Slate, Meagher & Flom LLP seeks a Mid-Level Associate in New York, NY to serve in the firm's mergers and acquisition (M&A) practice group. Requires a Juris Doctor degree or equivalent and two (2) years of experience reviewing term sheets, letters of intent, memoranda of understanding, confidentiality and non-disclosure agreements, merger agreements, purchase agreements and other transaction agreements for clients in the industrials, consumer retail, pharmaceuticals, energy and renewables, and technology sectors; drafting memoranda regarding key legal considerations for clients for complex mergers, acquisitions and financing transactions, including governance rights and economic rights; drafting, and revising transaction documents, including confidentiality agreements, due diligence reports and summaries, operating and shareholders agreements and ancillary documents, including board and shareholders resolutions and consents, certificates and other corporate housekeeping matters; preparing schedules and exhibits to transaction agreements; conducting legal and market research on corporate governance issues or prevalence of certain deal terms including minority consent rights and reverse termination fees using platforms including Intelligize, DealPointData and Westlaw/Practical Law. Must be admitted to practice law in the state of New York. Telecommuting and/or working from home may be permissible pursuant to company policies.

The starting base salary for this New York position is expected to be between $310,000.00 to $365,000.00 annually. Actual salary will be determined based on skills, experience (to the extent relevant) and other job-related factors, consistent with applicable law.
