The Opportunity

TC Energy is looking for a senior level attorney with 8+ years of practice experience advising clients in the energy industry with primary responsibility for supporting a dynamic gas and power trading desk for short and long-term transactions in natural gas and power.

Candidates must have a proven record of success negotiating long-term deals with local distribution companies, exporters or producers and a focus on creative customer solutions.

The successful candidate will have detailed knowledge of US natural gas markets and familiarity with US power markets, with experience at both regulated transmission providers and commodity trading organizations a plus. Experience with drafting and negotiating standard and non-standard industry trading contracts and structured transactions for physically and financially settled commodities and derivatives thereof, agency services and asset management agreements is a strong benefit.

The successful candidate should also have general knowledge of the regulatory environment with respect to trading and marketing transactions, including FERC, CFTC, and state public utilities commissions requirements plus other relevant standards imposed by ISOs, exchanges or similar self-regulatory organizations.

This role requires a strategic thinker who is enthusiastic about advising a creative origination team and gas trading desk and partnering extensively with senior leadership to deliver consistent growth and financial results.

What You'll Do

  • Review, negotiate, and draft complex commodity transaction documents, including guarantees and related financial assurances as required.

  • Identify and analyze legal issues and risks, providing clear and well-reasoned recommendations that reflect an understanding of the company's business and risk tolerance.

  • Formulate and deliver timely, high-quality legal advice to clients.

  • Communicate effectively with all levels of the organization, including commercial, trading, commercial operations, contract management, risk and compliance teams.

  • Provide advice regarding transactions and transactional structures to ensure compliance with relevant laws and regulations, including with respect to FERC, CFTC, ISO and PUC rules and support cross-functional teams responsible for responding to regulatory inquiries, requests for information and investigations initiated by regulatory agencies in respect of commodity trading, origination transactions and any agreements or transactions in support of such activities.

  • Adhere to the company's corporate vision, values, and high ethical standards.

  • Manage outside counsel in regulatory, investigative, commercial and compliance matters, as needed

Minimum Qualifications

  • JD degree with strong academic credentials

  • An active license to practice law in the US (New York and/or Texas preferred)

  • Minimum of 8+ years of legal experience, including with respect to commodity transaction agreements in either private practice or in an in-house legal department

  • Excellent written and oral communication skills

  • Ability to precisely draft complex documents and legal guidance that is concise and digestible for non-lawyers

  • Capable of working independently, with others in the legal department, and across the company with non-lawyer stakeholders

  • Must be willing to work in an office environment embedded with the commercial trading team located in downtown Houston, TX

  • Qualified to work in the United States with no restrictions on travel to Canada.
