Senior Vice President, General Counsel Reporting directly to the Chief Executive Officer, the Senior Vice President & General Counsel serves as the organization's chief legal advisor and a key member of the Senior Leadership Team (SLT). This role is responsible for shaping and executing the company's legal strategy, ensuring compliance with all applicable laws and regulations, and safeguarding the organization's intellectual property and assets. The General Counsel provides strategic legal counsel and business guidance to the CEO, SLT, and Board of Directors, supporting complex transactions, corporate governance, risk management, and regulatory matters. This position plays a critical role in advancing the company's most strategic initiatives by translating legal complexity into clear, actionable guidance that accelerates business outcomes. Responsibilities: Business Partnering
Define and drive the organization's global legal strategy aligned with business objectives. Lead the legal function across all regions (EMEA, APAC, Americas), ensuring consistency and compliance. Oversee enterprise-wide risk management, regulatory compliance, and corporate governance frameworks. Anticipate emerging legal risks and develop proactive mitigation strategies. Serve as a key advisor to the CEO, Board of Directors, and senior leadership on complex legal and regulatory matters. Provide strategic counsel on mergers, acquisitions, partnerships, and other high-impact transactions. Establish and enforce global legal policies, ethics, and compliance programs. Ensure adherence to international laws, industry regulations, and corporate standards. Collaborate with business leaders to enable growth while managing legal risk. Influence strategic decisions by integrating legal insights into operational and financial planning.
Labor and Employment
Provide strategic legal counsel on all human resources and employment-related matters to ensure alignment with organizational objectives and risk mitigation. Oversee monitoring and interpretation of federal, state, and municipal employment law developments; advise executive leadership and partner with HR to proactively address regulatory changes. Serve as a trusted advisor to senior management on complex issues including EEO, FMLA, FLSA, ADAAA, ADEA, Equal Pay, OSHA, employee privacy, immigration, diversity and inclusion, affirmative action, performance management, and workforce transitions. Lead and support labor relations strategy, including collective bargaining negotiations, grievance and arbitration proceedings, contract interpretation, progressive discipline, and resolution of unfair labor practice claims. Counsel leadership on sensitive employee relations matters-such as performance concerns, internal investigations, and accommodation requests-developing solutions that balance compliance, organizational goals, and employee engagement. Provide governance and compliance oversight for benefit plans, including ERISA fiduciary obligations, qualified plan rules, and prohibited transaction considerations. Negotiate and draft high-stakes employment agreements, including executive offer letters, severance packages, and settlement agreements, ensuring legal soundness and business alignment. Direct immigration compliance strategy and manage external immigration counsel to support global workforce mobility.
Legal Proceedings, Claims and Investigations
Direct enterprise-wide strategy for responding to inquiries from federal, state, and municipal agencies; oversee legal research, internal coordination, and negotiation of responses to ensure regulatory compliance and protect organizational interests. Provide executive oversight and strategic guidance on all litigation and claims, including employment disputes, EEOC matters, workers' compensation, contract controversies, and other high-risk issues; manage outside counsel and optimize litigation outcomes. Lead organizational response to demand letters, wage claims, and enforcement actions filed with agencies such as EEOC, DOL, DOJ, and OSHA; mitigate risk through proactive resolution strategies and alignment with business objectives.
General Corporate
Provide executive oversight of global corporate governance, ensuring accurate and compliant maintenance of records for all domestic and international legal entities. Advise and support the Corporate Secretary on board governance strategy, including preparation for board, committee, and shareholder meetings; review and approve agendas, minutes, and board materials; and ensure adherence to governance best practices. Lead subsidiary governance management across jurisdictions, including entity formation and dissolution, drafting resolutions and governance documents, and maintaining robust compliance frameworks. Drive development and implementation of enterprise-wide legal policies, procedures, and standards to strengthen governance and mitigate risk. Champion legal education initiatives by designing and delivering training programs for employees and contractors on compliance, ethics, and regulatory requirements. Oversee legal operations strategy, leveraging process improvement, project management, technology adoption, and data analytics to optimize efficiency and enhance decision-making. Manage legal department financial performance, including budgeting, cost control, and resource allocation, to ensure operational excellence and fiscal responsibility. Build and maintain strategic relationships with external legal service providers and technology vendors, ensuring delivery of high-quality, cost-effective legal solutions aligned with organizational objectives.
Qualifications:
JD from an accredited law school with license to practice in any state in the United States. 15+ years of legal experience in complex corporate law in an in-house corporate position. Demonstrated experience with corporate governance. Experience in legal operations and law firm budget management including billing, analysis, and forecasting. Experience in supporting mergers and acquisitions, including due diligence. Strong problem-solving ability; adept at identifying legal issues, analyzing problems, and providing practical solutions that align with the company's business goals. Strong oral and written communication skills with business partners and senior management; must be knowledgeable, persuasive, and able to inspire confidence in colleagues at all levels of the Company. Proactive business partner; ability to work collaboratively with cross-functional teams and build positive working relationships with colleagues at all levels of the organization. Strong contract drafting and negotiation experience is required. Requires ability to anticipate internal and external business challenges and/or regulatory issues; recommend process, product or service improvements; solve unique and complex problems that have a broad impact on the business; contribute to the development of functional strategy; lead project teams to achieve milestones and objectives.
