About This Role

Under the direction of the General Counsel, we will work with departments across the company to provide guidance on a wide range of legal matters, including commercial contracts and transactions, compliance, privately held securities, privacy, conflict management, expert witness discovery, expert witness qualification, regulatory issues, and general corporate matters.

Provide legal support and guidance on discovery and expert qualification issues where ESi employees are acting as designated experts in litigation. Assist in responding to legal process or production requests made to ESi or its staff.

Key Responsibilities

  • Identify and evaluate risks to the organization from a legal or compliance perspective. Ability to identify ESi's business and legal interests and devise strategies to promote and protect those interests.
  • Advisement on strategic initiatives such as mergers & acquisitions, including due diligence support, drafting, and negotiating purchase and sale agreements, and other transaction-related documents.
  • Effectively communicate legal or contractual issues relevant to ESi to the appropriate stakeholders.
  • Providing support across a range of other areas, including for example human resources-related matters, developing, reviewing, and revising company policies, conducting training where necessary, and assisting in litigation matters.
  • Draft, review, and negotiate a wide range of commercial agreements. Provide guidance to internal teams on understanding and complying with client contractual requirements.
  • Understand commercial insurance lines including broker relationships, renewal process, and handling insurance claims across commercial lines.
  • Assist in the management of state-to-state licensure and regulatory compliance associated with service offerings domestically and abroad.
  • Assist in the response to litigation and pre-litigation matters directly or with the assistance of outside legal counsel.
  • Interpret applicable laws, rulings, and regulations applicable to ESi's business or strategies, and advise ESi on legal rights, remedies, and options.
  • Supporting the Office of the Corporate Secretary, the Board of Directors, and executive management in corporate governance matters including monitoring best practices, preparing Board and committee meeting materials, entity management, file management, and general corporate governance matters.
  • Interact well with and advises senior executives and all other levels of management on various legal matters.
  • Assist in oversight and management of conflict-of-interest determinations.
  • Provide legal advice, support, and services to ESi on a broad range of topics and issues.
  • Other duties as assigned.

Qualifications

Education/Experience Required:

  • Juris Doctor Degree (JD)
  • At least 3 years of general corporate experience in a leading law firm and/or in-house are required (some in-house experience is preferred).

Computer Skills:

  • Advanced skills in Microsoft suite of software especially Outlook, Word, Excel, PowerPoint, OneDrive, SharePoint, and Teams.
  • Working knowledge of Lists & To Do a plus.
  • Ability to leverage Microsoft Teams and SharePoint in a collaborative environment.
  • Advanced skills in Adobe Acrobat.
  • Proficient in internet research and database programs.
  • Well-versed in utilizing internet resources to learn new software quickly and efficiently.
