Associate Counsel M&A (241) - Remote

This highly visible role provides legal and business counsel to senior executives and cross-functional leaders on strategic transactions, corporate governance, securities compliance, and other critical business initiatives. The ideal candidate will bring strong M&A experience, sound judgment, and a collaborative approach to solving complex legal and business challenges.

JOB ROLES AND RESPONSIBILITIES:

  1. Provide legal and business counsel and support to:
    1. VP, Associate General Counsel & Corporate Secretary;
    2. SVP and Chief Legal Officer;
    3. Corporate Development Team;
    4. Executive Leadership Team;
    5. Accounting, Finance Investor Relations, Marketing, Treasury and Talent & Growth personnel; and
    6. to other departments including, but not limited to, Sales and Account Management, Operations, Network Development, and IT.
  2. Function as a Legal Department resource with respect to strategic transactions and corporate matters, including mergers and acquisitions, joint ventures, strategic alliances, corporate governance, securities, debt, executive compensation, and entity management (including international):
    1. Lead and support strategic transactions, including mergers, acquisitions, divestitures, joint ventures, strategic alliances, minority investments, and other corporate development initiatives.
    2. Manage all phases of a deal cycle, including structuring, NDA/LOI negotiation, legal due diligence, negotiation of transaction documents, regulatory approvals, closing activities, and post-closing integration support.
    3. Coordinate and advise cross-functional teams, including Corporate Development, Finance, Accounting, Treasury, Tax, Human Resources, Operations, Technology, and Investor Relations, in connection with strategic transactions.
    4. Assist in negotiating and drafting complex commercial and strategic agreements, including joint development agreements, technology transactions, licensing arrangements, and other business-critical contracts.
    5. Support securities-related transactions, including debt offerings, equity offerings, financing transactions, and other capital markets activities.
    6. Assist with management of domestic and international subsidiaries and corporate entity governance matters.
    7. Support other corporate legal matters, including public company securities, board and governance matters.
    8. Support international and cross-border transactions, operations, and governance matters.
    9. Assist with intellectual property, real estate, and licensing matters, as needed.
    10. Support multiple cross-functional strategic and operational initiatives.

JOB REQUIREMENTS (Education, Experience, and Training):

  • Juris Doctor (J.D.) required.
  • Minimum 5 years of legal experience with substantial experience in mergers and acquisitions, strategic transactions, and general corporate matters.
  • Demonstrated experience managing and supporting complex transactions, including acquisitions, divestitures, joint ventures, strategic alliances, investments, and related corporate transactions.
  • Experience conducting legal due diligence, negotiating transaction documents, coordinating deal teams, and supporting post-closing integration efforts.
  • Experience advising public companies on securities law matters, including the Securities Act of 1933, Securities Exchange Act of 1934, SEC reporting and disclosure obligations, corporate governance, and SOX compliance.
  • Experience supporting debt financings, publicly traded debt, equity programs, employee stock purchase plans, executive compensation, entity management, and board governance matters is preferred.
  • Experience with international/cross-border entities, operations, and transactions preferred.
  • Healthcare, technology, or other highly regulated industry experience preferred.

COMPENSATION

The salary range for this position is $165k-180k. Specific offers take into account a candidate's education, experience and skills, as well as the candidate's work location and internal equity. This position is also eligible for health insurance, 401k and bonus opportunity.
