Position Summary
Assists Senior TIDO Contracts Manager and Director of Technology Transactions with administration of day-to-day operation of the Contracts group. Serves as a specialized resource that advises and assists Technology & Innovation Development Office staff in negotiating and securing transfer of Hospital owned technology to non-profit and for-profit corporations for its development and application. Drafts and negotiates and complex agreements, such intellectual property licenses, sponsored research agreements, and alliance agreements.
Key Responsibilities
- Works independently to assist office staff with drafting, reviewing and negotiating academic and industry collaboration agreements, corporate sponsored research agreements, material licenses, inter-institutional agreements and intellectual property licenses.
- Works independently to assist office staff with drafting, reviewing and negotiating inter-institutional agreements and materials licenses and intellectual property licenses, such as exclusive and non-exclusive patent licenses.
- Works independently to assist other departments, such as the Office of Sponsored Program, Clinical Trials Business Office and Office of General Counsel with review of intellectual property terms in their respective agreements.
- Provides negotiation support, without guidance from supervisor, for research agreements and intellectual property licenses, such as participating in phone calls with outside parties, to assist office staff in completing deals.
- Assists and advises office staff, without support from supervisor, on resolving contractual disputes with outside parties.
- Demonstrates an excellent understanding of the law, regulations and institutional policies related to the transfer and use of human samples, including privacy laws such as HIPAA and GDPR.
- Acquires and maintains knowledge of (a) Hospital's policies and procedures applicable to academic and corporate research agreements, licenses, and intellectual property, (b) applicable Harvard faculty policies, (c) other academic and professional standards for the conduct and administration of academic and corporate research agreements, and licenses, and (d) laws related to technology transfer in the non-profit setting.
- Assists Contracts Team leadership with training MTA Specialist, Contracts Specialist and Senior Contracts Specialist. Relationship Management: Maintains effective working relationships with Hospital employees, the Harvard Medical School faculty, affiliated hospitals, universities and for-profit corporations worldwide with respect to negotiating research agreements and intellectual property licenses.
Minimum Qualifications Education:
- A Doctorate's degree/ Juris Doctor
Experience:
- A minimum of 4 years experience in technology transfer, contract negotiation or law
- Excellent communication skills, both written and oral. Ability to respond promptly to emails and requests for information.
- Must work effectively in matrixed organization with multiple team members on projects. Prioritization: Ability to work in busy dynamic environment and manage multiple projects at once, ability to prioritize, without support from supervisor.
- Demonstrated ability to solve complex problems which involve either legal, business or scientific variables.
- Manages, leads, trains, and oversees team that the drafts, negotiates, and executions material transfer agreements (MTAs), academic collaboration agreements, and confidential disclosure agreements (CDAs). In this case, the Contracts Specialist and Senior Contracts Specialist would directly report to this position. In this capacity, the TIDO Contracts Manager would be responsible for ensuring all material transfer agreements, academic collaboration agreements, and confidentiality agreements comply with BCH intellectual property guidelines as set forth by TIDO Management and BCH General.
The posted pay range is Boston Children's reasonable and good-faith expectation for this pay at the time of posting. Any base pay offer provided depends on skills, experience, education, certifications, and a variety of other job-related factors.
